Terms of Service

These Terms govern your use of the AgentCloud platform, including our APIs, SDKs, and cloud agent infrastructure. Please read them carefully before using our services.

1. Acceptance of Terms

By creating an AgentCloud account, accessing our APIs, or deploying AI agents on our infrastructure, you agree to these Terms of Service. If you use AgentCloud on behalf of an organization, you represent that you have authority to bind that organization.

These Terms apply to all users, including individual developers, teams, and enterprise customers. We may update these Terms periodically. We will provide at least 14 days' notice for material changes. Continued use after the effective date of changes constitutes acceptance.

2. Use of Service

AgentCloud grants you a limited, non-exclusive, non-transferable right to access and use the platform for building, deploying, and scaling AI agents.

Permitted Use: You may use AgentCloud to develop and deploy AI-powered applications, automate workflows, connect to third-party APIs, and process data through our agent infrastructure, in compliance with applicable law and these Terms.

Prohibited Use: You may not use AgentCloud to host content or operate workflows that are illegal, harmful, or violate third-party rights. Cryptomining, DDoS amplification, credential stuffing, and other platform abuse are strictly prohibited. Sharing API keys across unaffiliated organizations is not permitted.

Fair Use: Excessive API usage that degrades service for other customers may result in rate limiting or account review. Contact us if you anticipate high-volume usage so we can plan capacity together.

3. AI Agent Services

AgentCloud provides cloud infrastructure for building, deploying, and scaling AI agents. You are responsible for the agents you build and deploy on our platform.

Output Accuracy: AI outputs generated by agents on our platform depend on the models and logic you configure. AgentCloud provides the infrastructure; the accuracy of agent behavior is your responsibility. We recommend testing agents thoroughly before production deployment.

Responsible Use: You must ensure your AI agents do not engage in deception, manipulation, or harm to end users. Deploying agents that impersonate real people, generate illegal content, or operate in violation of applicable AI governance requirements is prohibited.

Customer Liability: If your deployed agents interact with your customers and cause harm, you bear responsibility for those outcomes. AgentCloud's infrastructure role does not transfer liability for your application behavior.

Model Usage: Third-party AI models made available through AgentCloud are subject to their respective providers' terms. You are responsible for compliance with those terms.

4. Payment Terms

AgentCloud offers subscription plans and usage-based pricing.

Subscriptions: Fixed subscription tiers are billed monthly or annually and include allocated compute, API calls, and agent executions. Overages are billed at defined rates.

Usage-Based Billing: Consumption above subscription limits is metered and billed at the end of each billing period. Usage dashboards provide real-time visibility into consumption.

Payment: You authorize AgentCloud to charge your payment method on file for subscription fees and overages. All charges are in USD unless otherwise specified.

Cancellation: Cancel your subscription at any time through your account settings. Prepaid subscription fees are non-refundable except within the 14-day new customer window.

Enterprise: Enterprise customers under a separate order form are subject to those payment terms.

5. Intellectual Property

AgentCloud IP: The AgentCloud platform, APIs, SDKs, runtime infrastructure, and documentation are owned by AgentCloud and protected by intellectual property law. You receive no ownership rights to our platform.

Your Agents & Applications: You retain ownership of agent configurations, custom code, workflows, and applications you build on AgentCloud. You grant us a limited license to execute and process your agents solely to deliver the service.

Your Data: You retain ownership of data you input or process through the platform. We use your data only to provide services to you.

Open Source: Portions of AgentCloud's SDK may be made available under open source licenses, which are specified in the relevant repositories.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTCLOUD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST REVENUE, LOST DATA, INFRASTRUCTURE DOWNTIME, OR REPUTATIONAL HARM.

Our total aggregate liability for any claims under these Terms shall not exceed the greater of (a) the total fees paid by you to AgentCloud in the 12 months prior to the claim, or (b) $1,000 USD.

AGENTCLOUD PROVIDES THE PLATFORM "AS IS" AND MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING UPTIME, AVAILABILITY, OR FITNESS FOR A PARTICULAR PURPOSE BEYOND THOSE STATED IN ANY APPLICABLE SLA.

Enterprise customers with custom SLAs have liability terms specified in their agreements, which supersede this section.

7. Termination

By You: Cancel your account at any time through account settings or by contacting support@agentcloud.io. Running workloads will be terminated at the end of the billing period.

By AgentCloud: We may suspend or terminate your account for material Terms violations, sustained API abuse, non-payment, or security incidents caused by your workloads. For non-critical violations, we will provide notice and a 7-day cure period where possible.

Data Export: We provide 30 days after termination to export your agent configurations, workflows, and data via our API. After 30 days, data is permanently deleted.

Terms sections covering IP, liability, and governing law survive termination.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved by binding arbitration under AAA Commercial Arbitration Rules, with proceedings conducted in English. Either party may seek injunctive relief in any court of competent jurisdiction for claims involving IP infringement or unauthorized system access.

Class-action waivers apply — you may not bring claims against AgentCloud as part of a class or consolidated proceeding.

EU customers retain rights under applicable EU law that these Terms do not limit. We offer GDPR Data Processing Agreements upon request.
